Purchasing and Project contract management and the 3 main contract types: fixed price, time and materials, and cost based contracts. This is an important knowledge in Project Procurement, Supply Chain, and Purchasing Management. In this video, you learn: Why and when do companies need contracts in purchasing management? What are the main contract types used by companies? What are the ADVANTAGES and risks of each contract type? Would you like to understand contract management in corporations? If yes, keep watching. Fixed price is a contract in which the price of the product or service is fixed during the contract duration. In these contracts, buyer and seller should know very well the specifications and, therefore, the costs can be estimated with accuracy. In a cost-based contract, the buyer agrees to reimburse the supplier for the expenses incurred plus a dollar amount of profit, usually a percentage of the contract’s full price. To protect against cost overruns, some companies define the maximum cost reimbursement the supplier cannot exceed. In Time & Materials (T&M) contract, cost unit rates are predetermined, but the man-hours and material quantity u can vary. Therefore, the total cost is not fixed while unit cost are fixed. It is a kind of hybrid contract. It has a fixed unit cost as the fixed price contracts, but the amount of material used and worked hours o may vary and will be paid accordingly. Contract management or contract administration is the management of contracts made with customers, vendors, partners, or employees. The personnel involved in contract administration required to negotiate, support and manage effective contracts are often expensive to train and retain. Contract management includes negotiating the terms and conditions in contracts and ensuring compliance with the terms and conditions, as well as documenting and agreeing on any changes or amendments that may arise during its implementation or execution. It can be summarized as the process of systematically and efficiently managing contract creation, execution, and analysis for the purpose of maximizing financial and operational performance and minimizing risk. Common commercial contracts include employment letters, sales invoices, purchase orders, and utility contracts. Complex contracts are often necessary for construction projects, goods or services that are highly regulated, goods or services with detailed technical specifications, intellectual property (IP) agreements, outsourcing and international trade. Most larger contracts require the effective use of contract management software to aid administration among multiple parties. A study has found that for "42% of enterprises...the top driver for improvements in the management of contracts is the pressure to better assess and mitigate risks" and additionally,"nearly 65% of enterprises report that contract lifecycle management (CLM) has improved exposure to financial and legal risk." During the post-award phase, it is important to ensure that contract conditions and terms are met, but it is also critical to take a closer look for items such as unrecorded liabilities, under-reported revenue or overpayments. If these items are overlooked, margin may be negatively impacted. A contract compliance audit will often commence with an opportunity review to identify the highest risk areas. Having a dedicated contract compliance (and/or governance) program in place has been shown to result in a typical recovery of 2-4% and sometimes as high as 20%. Current thinking about contract management in complex relationships is shifting from a compliance “management” to a “governance” perspective, with the focus on creating a governance structure in which the parties have a vested interest in managing what are often highly complex contractual arrangements in a more collaborative, aligned, ?exible, and credible way. In 1979, Nobel laureate Oliver Williamson wrote that the governance structure is the “framework within which the integrity of a transaction is decided.” He further added that “because contracts are varied and complex, governance structures vary with the nature of the transaction.” (See also relational contract). Eriksson and Westerberg (2011); Li, Arditi, and Wang (2012); Chen and Manley (2014), and Cardenas, Voordijk, and Dewulf (2017) have hypothesized, developed and extensively tested conceptual models in which relevant project governance instruments and factors were identified and related to the performance of construction projects. A collaborative governance framework has four components: A relationship management structure (how the parties work together to make both day to day operational decisions as well as strategic decisions) A joint performance and transformation management process designed to track the overall performance of the partnership An exit management plan as a controlling mechanism to encourage the organizations to make ethical, proactive changes for the mutual benefit of all the parties. Compliance to special concerns and regulations, which include the more traditional components of contract compliance.

They were able to do all of this: WITHOUT paid ads WITHOUT creating a product WITHOUT dealing with customer service WITHOUT a website or email list To do this, they use a simple 3-step system called “Reverse Wholesale”. Here’s how it works: STEP 1: LOCATE HIGH-PROFIT, HIGH POTENTIAL BRANDED PRODUCTS ON AMAZON This step involves looking for branded products on Amazon that have a HUGE buyer demand, but very bad listings. In essence, your aim is to “refurbish” a product that is ALREADY proven to sell well. By refurbish, we mean improving its images, product title, product description and also features and benefits. When a product that everyone is buying has a poor listing, you now have the opportunity to improve this listing - and make even MORE sales. STEP 2: CREATE A WHOLESALE ACCOUNT The next step is to ask to open a Wholesale Account with the manufacturer of the product you have identified. You do this to gain access to their Wholesale distributor so that you can buy the product at discounted rates and sell them for a profit. However, there is a slight catch: Manufacturers don’t just accept anybody. That’s why you use Dan’s secret method. Instead of trying to lie your way through to opening an account, you take a different approach. You NEGOTIATE. You say, “Hey, I’ll come in, edit your listing and MASSIVELY increase your sales. In exchange, we’ll make a contract, we’ll make a deal. My business, my company, gets the right to buy these products direct from your manufacturer, at wholesale, discounted rates. I will then send these items into Amazon for you, and I will “manage” your listing and grow your sales.” This is a deal that’s hard to turn down. At the end of the day, it is a win-win situation. For you: You get DIRECT access to the manufacturers instead of having to go through the distributor. This means that you can buy items from them in bulk at a MASSIVE discount, allowing you to make more profits on the items you sell! For them: More money! Considering this is a long-term deal, you’re going to make them A LOT more money since you’ll be regularly buying their items in bulk. (Who wouldn’t want that?!) STEP 3: OPTIMIZE THE LISTING, PURCHASE THE PRODUCTS AND MAKE MONEY! The final step involves editing their listing to make it even better. Adding better photos. Adding a great title. Adding a great description - and greatly increasing the conversions and sales. You then buy the product you want to sell at wholesale, discounted rates, then ship them into one of Amazon’s FBA warehouses. Amazon’s FBA warehouses are incredible. They store these items for you. When a customer purchases your item, Amazon will pick, pack and ship this item off to your customer - without you having to even lift a finger. This means you don’t have to do ANY of the heavy lifting. At this point it’s basically a passive source of income. All you have to do is order new products when inventory gets low. It’s upfront work for long-term rewards!

Request for Proposal (RFP), Request for quotation (RFQ), Request for Information (RFI) are key documents in the purchasing process. In this lesson, we cover 3 main points about what is called RFx. 1 – we define RFI, RFP and RFQ 2 – we will be learning when to apply them 3 - we will see a basic work flow for each of them This is a strange story but may help the learning. Our friend here is a manager in a sunny and hot day. He wants to buy something to give to his team but has no idea how to solve the problem. He prepared a Request for Information and sent out to suppliers. The supplier replied with some alternatives, water balloons can help with heat, also Ice creams, or why not some drinks! The manager, thought, thought, and then decided for ice creams, the other solution does not seem to be appropriate for the workplace. Once, he has an idea about the product, he issued and sent a Request for Proposal because he was open for different product features. If he knew all details beforehand, he could have sent out a Request for Quotation, and just ask for the product cost. The buyer knowledge about the product indicates which document is more suitable. 5 Things to Do BEFORE Working With Chinese Dropshippers & Suppliers (Aliexpress & Alibaba Tips)

Going to a tradeshow is very expensive and so a lot of legitimate suppliers do not go because it is hard to make enough money back to make it profitable. What this means is that if a supplier has gone, then it indicates they are financially is a good position (which means they are unlikely to go out of business any time soon). If your supplier is on Alibaba, you can go to their profile and check to see if they have visited any tradeshows. If your supplier is based on Aliexpress, find the brand of the item that you would like to sell and then go to Alibaba to locate the manufacturer. You can then visit the manufacturers profile page to see if they have been to a tradeshow. #2: Avoid using pictures with models If you are working with a Chinese dropshipper on Aliexpress or a Chinese supplier on Alibaba and they have stock photos that use models, we recommend that you don’t use those photos yourself. This is because Chinese suppliers have a history of illegally taking pictures from model’s social media accounts (like stealing the images from Instagram). They can get away with this in China, but in the West the model can contact Facebook/Amazon and get your ad/listing taken down. Avoid using pictures with models so that you don’t infringe on copyright. #3: Check to see if you’re working with a manufacturer, trade company or wholesaler On Alibaba you will usually encounter two types of suppliers: manufacturers and trade companies. A manufacturer is the factory that originally made the item. A trade company is a middle-man between a manufacturer/factory and you. Neither is better than the other, they both have advantages and disadvantages. The advantage with a manufacturer is that you’re going straight to the source and it’s usually cheaper. On the other hand, a trade company usually charges more since they make a commission on the sale, but their reps usually speak better english which makes communication much better (sometimes they can negotiate lower prices than if you were buying straight from the manufacturer as well so it’s good to check even if you are price sensitive). You can check what the company is in their Alibaba profile. On Aliexpress you’ll usually encounter either manufacturers or wholesalers. Manufacturers tend to brand their store their generic label brand (e.g. Transhome) and only sell products under their brands. Wholesalers will usually name their store something less generic (e.g. Mr & Mrs Store) and will sell products from a variety of manufacturers. Wholesalers are sometimes more expensive but they have a wider selection of products. #4: Recap your agreements and contracts in writing If you and your supplier are negotiating a contract or an agreement, make sure that you get your suppliers to recap it and write out the agreement in text. It’s very easy for both cultural and language differences to cause misunderstandings. Ask your suppler to recap each element of your agreement in text (either by email or by sending a copy of your contract in writing). #5 Prioritize products that have multiple manufacturers The profit margins for Chinese manufacturers is very small, because they sell their items so cheaply. That, along with the fact that doing business in China is relatively difficult means that unless a factory is well managed, it can go bankrupt and have to close. If you’re dropshipping an item or private labeling it for Amazon and your supplier goes out of business, then unless you have a backup supplier that manufactures the same item - you will have nothing to sell and your money will dry up. That is why, when choosing between products, it’s good to look for one that has multiple manufacturers and suppliers. Then, on the off-chance your supplier has to close it’s doors, you can switch to a new one - and your business can continue, and you can keep making money.

PCP stands for Personal contract purchase PCP is a financial product designed to reduce your monthly payments By delaying part of the repayment to the end of the agreement The monthly payment, deposit, Yearly and total mileage and final ‘balloon’ payment can all be adjusted to your needs And the agreement can be settled at any time. So I notice many new importers and sellers are both confused and intimidated when making their first purchase on Alibaba. Alibaba is different from how most of us are used to making online purchases. Unlike sites like eBay, Amazon, and even DHGate and Ali Express, Alibaba is a B2B platform and not a B2C platform. They don't have a shopping cart, and everything from how you pay, to the price of items, to how you want your items shipped and who pays the customs duties is all up for negotiation. While in some ways this leaves you with more flexibility, it can also be intimidating early on in your importing career. Procurement is the act of finding, acquiring, buying goods, services or works from an external source, often via a tendering or competitive bidding process. The process is used to ensure the buyer receives goods, services or works the best possible price, when aspects such as quality, quantity, time, and location are compared. Corporations and public bodies often define processes intended to promote fair and open competition for their business while minimizing risk, such as exposure to fraud and collusion. Almost all purchasing decisions include factors such as delivery and handling, marginal benefit, and price fluctuations. Procurement generally involves making buying decisions under conditions of scarcity. If good data is available, it is good practice to make use of economic analysis methods such as cost-benefit analysis or cost-utility analysis. An important distinction should be made between analyses without risk and those with risk. Where risk is involved, either in the costs or the benefits, the concept of best value should be employed. Procurement activities are often split into two distinct categories, direct and indirect spend. Direct spend refers to production-related procurement that encompasses all items that are part of finished products, such as raw material, components and parts. The first category being direct, production-related procurement and the second being indirect, non-production-related procurement. Direct procurement, which is the focus in supply chain management, directly affects the production process of manufacturing firms. In contrast, indirect procurement activities concern “operating resources” that a company purchases to enable its operations. Indirect procurement comprises a wide variety of goods and services, from standardized items like office supplies and machine lubricants to complex and costly products and services;, like heavy equipment, consulting services, and outsourcing services. Procurement is one component of the broader concept of sourcing and acquisition. Typically procurement is viewed as more tactical in nature (the process of physically buying a product or service) and sourcing and acquisition are viewed as more strategic and encompassing. The Institute of Supply Management defines strategic sourcing as the process of identifying sources that could provide needed products or services for the acquiring organization. The term procurement used to reflect the entire purchasing process or cycle, and not just the tactical components. ISM defines procurement as an organizational function that includes specifications development, value analysis, supplier market research, negotiation, buying activities, contract administration, inventory control, traffic, receiving and stores. Purchasing refers to the major function of an organization that is responsible for acquisition of required materials, services and equipment. The United States Defense Acquisition University (DAU) defines procurement as the act of buying goods and services for the government. DAU defines acquisition as the conceptualization, initiation, design, development, test, contracting, production, deployment, Logistics Support (LS), modification, and disposal of weapons and other systems, supplies, or services (including construction) to satisfy Department of Defense needs, intended for use in or in support of military missions. Acquisition and sourcing are therefore much wider concepts than procurement. Multiple sourcing business models exist, and acquisition models exist.

GST Reverse Charge Mechanism (RCM) | GST Reverse Charge | GST Reverse Charge in Purchase with Unregistered Dealer in Hindi Goods and Services Tax (GST) has broaden the concept of reverse charge mechanism by including goods and services under reverse charge (RCM). Reverse charge may be applicable for both services as well as goods. This video contains the list of services under Reverse Charge in GST As per section 9(4) of the CGST Act , the central tax in respect of the supply of taxable goods or services or both by a supplier, who is not registered, to a registered person shall be paid by such person on reverse charge basis as the recipient and all the provisions of this Act shall apply to such recipient as if he is the person liable for paying the tax in relation to the supply of such goods or services or both. Situations where reverse charge will apply 1. Unregistered dealer selling to a registered dealer In such a case, the registered dealer has to pay GST on the supply. 2. Services through an e-commerce operator 3. CBEC has issued a list of services on which reverse charge is applicable. All persons who are required to pay tax under reverse charge have to register for GST irrespective of the threshold CBEC has notified a list of 12 services on which tax shall be paid by the recipient on 100% reverse charge basis: Non-resident service provider Goods Transport Agencies Legal service by an Advocate/ Firm of Advocates Arbitral Tribunal Sponsorship Services Specified Services provided by Government or Local Authority to Business entity Services of a director to a company Insurance agent Recovery Agent of Bank/FI/ NBFC Transportation Services on Import Permitting use of Copyright Radio Taxi services to E-commerce aggregator Every person who is paying tax on the basis of reverse charge has to mention this fact in his tax invoice that is being issued.
